1. Agreement to Terms

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICE AND MAY NOT ACCESS OR USE THE SERVICE.
2. Service Description
The Service provides a WhatsApp Business API Gateway platform that enables businesses to send and receive messages, manage contacts, automate communications, and integrate WhatsApp messaging capabilities into their applications.
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.
3. User Responsibilities and Liability
CRITICAL: USER ASSUMES FULL LIABILITY
YOU, THE USER, ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY AND EXCLUSIVELY RESPONSIBLE FOR ALL ACTIONS, CONTENT, MESSAGES, AND ACTIVITIES CONDUCTED THROUGH YOUR ACCOUNT AND USE OF THE SERVICE. ANY PROBLEMS, DAMAGES, LEGAL ISSUES, OR CONSEQUENCES ARISING FROM YOUR USE OR MISUSE OF THE SERVICE SHALL BE ENTIRELY YOUR RESPONSIBILITY AND LIABILITY.
You accept full responsibility for:
- All messages sent through your account, including content, recipients, and timing
- Compliance with all applicable laws, regulations, and WhatsApp's Terms of Service and Business Policy
- Obtaining proper consent from recipients before sending messages
- Ensuring all content sent complies with local and international laws
- Protecting your account credentials and preventing unauthorized access
- Any financial losses, legal penalties, or damages resulting from your use of the Service
- All costs, expenses, and legal fees arising from any claims, disputes, or legal actions related to your use of the Service
Consequences of Misuse
Any misuse, abuse, or violation of these Terms or applicable laws through your use of the Service will result in:
- Immediate termination of your account without notice or refund
- You being held fully liable for all resulting damages, losses, and legal consequences
- Potential legal action against you for violations of laws or third-party rights
- Reporting to relevant authorities and WhatsApp for policy violations
- You indemnifying and holding the Company harmless from all claims, damages, and expenses
4. Prohibited Uses
The following activities are STRICTLY PROHIBITED and will result in immediate account termination::
- Sending spam, unsolicited messages, or bulk messages without proper consent
- Using the Service for any illegal, fraudulent, or unauthorized purposes
- Violating WhatsApp's Terms of Service, Business Policy, or Community Guidelines
- Sending messages containing illegal content, hate speech, harassment, or threats
- Impersonating others, providing false information, or misrepresenting your identity
- Transmitting viruses, malware, or any harmful code
- Attempting to reverse engineer, decompile, or extract the Service's source code
- Interfering with, disrupting, or attempting to breach the Service's security
- Using automated systems to send messages in violation of rate limits
- Sending messages to recipients who have opted out or requested to be removed
- Violating any applicable data protection, privacy, or telecommunications laws
- Any activity that could damage the Company's reputation or result in legal liability
Violation Result: Any violation of prohibited uses will result in immediate account termination, potential legal action, and you will be held fully responsible for all consequences.
5. Account Registration and Security
To use the Service, you must::
- Be at least 18 years old or have valid parental/guardian consent
- Provide accurate, complete, and truthful registration information
- Maintain the security and confidentiality of your account credentials
- Immediately notify us of any unauthorized access or security breach
- Comply with all applicable laws and regulations in your jurisdiction
You are solely responsible for all activities that occur under your account, regardless of whether you authorized such activities.
6. Payment Terms
By subscribing to the Service, you agree to the following payment terms:
- Non-Refundable: All fees paid are NON-REFUNDABLE under any circumstances, except as required by applicable law. No refunds will be provided for partial periods, unused services, or account termination.
- Automatic Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date. You authorize us to charge your payment method automatically.
- Price Changes: We reserve the right to modify pricing at any time. Price changes will be communicated 30 days in advance, but continued use constitutes acceptance.
- Payment Failure: Failed payments will result in immediate service suspension. We are not responsible for any losses resulting from payment failures.
- No Refunds: Refunds are at our sole discretion and are not guaranteed. Once payment is processed, it is considered final.
ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE UNLESS REQUIRED BY LAW.
7. Service Availability and Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no representations or warranties of any kind:
- We do not guarantee uninterrupted, error-free, or secure operation of the Service
- We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice
- We are not responsible for any downtime, data loss, or service interruptions
- We do not guarantee compatibility with all devices, networks, or third-party services
- We are not liable for any issues arising from WhatsApp's policies, API changes, or service limitations
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS THE COMPANY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, LOSSES, LIABILITIES, DAMAGES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING OUT OF OR RELATING TO:

- Backing up your data regularly, as we are not responsible for data loss
YOU ARE SOLELY RESPONSIBLE FOR BACKING UP YOUR DATA. WE ARE NOT LIABLE FOR ANY DATA LOSS, CORRUPTION, OR DELETION.
12. WhatsApp Compliance
You must strictly comply with WhatsApp's Terms of Service, Business Policy, and Community Guidelines. This includes:
- Obtaining proper consent before sending messages
- Respecting opt-out requests and do-not-contact lists
- Using approved message templates for business-initiated conversations
- Complying with WhatsApp's rate limits and sending policies
WhatsApp Policy Violation: ANY VIOLATION OF WHATSAPP'S POLICIES WILL RESULT IN IMMEDIATE ACCOUNT TERMINATION, POTENTIAL BANNING OF YOUR WHATSAPP NUMBER, AND YOU WILL BE HELD FULLY LIABLE FOR ALL CONSEQUENCES, INCLUDING LEGAL ACTION BY WHATSAPP.
13. Termination
Termination by Company
We may terminate or suspend your account immediately, without prior notice or refund, for::
- Violation of these Terms of Service
- Violation of WhatsApp's policies or applicable laws
- Non-payment of fees or payment failure
- Fraudulent, illegal, or unauthorized activity
- Misuse, abuse, or violation of the Service
- At our sole discretion, for any reason or no reason
Effects of Termination
Upon termination, your access to the Service will be immediately revoked, all data may be deleted, and no refunds will be provided. You remain liable for all obligations and consequences arising from your use of the Service.
14. Changes to Terms
We reserve the right to modify, update, or change these Terms at any time, at our sole discretion, without prior notice. Material changes will be posted on this page with an updated "Last Updated" date.
Continued Use Constitutes Acceptance
